API Terms

These API Terms are an agreement between HAKKO AI PTE. LTD., a company incorporated in Singapore ("Cuddler", "we", "us"), and the organization that applies for or uses the Cuddler Platform API ("you" or the "Customer"). The "API" means the Cuddler Platform API at api.cuddler.ai/v1, its documentation, the API keys we issue, and the platform.cuddler.ai website.
The following documents are part of these terms: the Acceptable Use Policy, the Data Processing Notice and the Billing Terms. If you also use the Cuddler consumer app, its own terms govern that use, not the API.
1. Accepting these terms
By applying for access, using an API key or calling the API, you accept these terms on behalf of your organization. The person who accepts them confirms that they are authorized to bind the organization.
2. Business use only
The API is offered to businesses and other organizations only, not to consumers. You use it for your own business purposes: to create videos for your own productions and for works you deliver to your own clients.
3. Access
- Access is by application. We decide whether to approve an application, and we may ask for more information before or after approval.
- When we approve you, we set up an organization for you, issue API keys and set its limits (concurrency, queue, daily spending). We may change limits to protect the service; we will tell you when we lower yours.
- Keep your organization's contact and billing details accurate.
4. API keys
- API keys are confidential. Keep them on your own servers and share them only with people and systems that need them.
- Your organization is responsible for all use of its keys, including all charges, whether or not the use was authorized by you.
- Tell us at once at [email protected] if you think a key has been exposed. We may revoke a key at any time to protect you or the service.
5. Using the API
You must:
- use the API only as described in the documentation, within your limits and the Acceptable Use Policy;
- not try to get around limits, security measures or content moderation;
- not probe, overload, reverse engineer or copy the API, or use it to build a competing API.
No resale or pass-through. You may not resell, sublicense, rent or share access to the API, and you may not make it available to third parties, for example as a generation service, an app feature or an API that lets others submit their own prompts or files, unless we have agreed to it in writing. You may deliver the videos you make to your clients.
6. Your content
- "Inputs" are the prompts, files and other data you send; "Outputs" are the videos, frames and other results the API returns.
- You keep your rights in your Inputs. As between you and us, you own the Outputs to the extent any rights exist in them, and you may use them for any lawful purpose, including commercially.
- You are responsible for your Inputs and for having every right and permission needed to use them, and for how you use the Outputs. Outputs are generated by AI; similar Outputs may be generated for others, and they may not be protectable or unique.
- You give us permission to process Inputs and Outputs to provide the API, to check them against our policies, to prevent and investigate abuse, and to meet legal obligations, as described in the Data Processing Notice.
- We do not use your Inputs or Outputs to train AI models.
7. Model providers
Videos are generated by third-party model providers, currently Volcano Engine. Their availability, content rules and output quality are outside our full control. We may add, change or retire models; we will give you reasonable notice before retiring a model you use, except where a provider stops offering it at short notice.
8. Fees
You pay for the API from a prepaid USD balance, as set out in the Billing Terms.
9. Suspension and termination
- We may suspend your organization or a key at once if you break these terms or the Acceptable Use Policy, if your use puts the service, other customers or a provider at risk, if we suspect fraud or unauthorized use, or if the law requires it. Where we reasonably can, we will tell you why and how to resolve it.
- You may stop using the API at any time and ask us to close your organization.
- We may end the API service for you for any reason with 30 days' notice. If we do so without cause, we refund your unused prepaid balance. If we end it because you broke these terms, your unused balance is not refunded.
- Sections 4 (responsibility for keys), 6, 10, 11, 12 and 14 continue after termination.
10. No warranty
The API is provided "as is" and "as available", on a best-effort basis. There is no service level agreement. We do not promise that the API will be uninterrupted or error-free, that a job will succeed, or that Outputs will be accurate, suitable for a purpose, or free of third-party rights. Moderation by us or a model provider may refuse requests that you consider acceptable.
11. Limitation of liability
- Neither party is liable for indirect, incidental, special or consequential losses, or for lost profits, revenue, data or goodwill.
- Our total liability for all claims relating to the API is limited to the fees you paid us for the API in the three months before the event giving rise to the claim.
- Nothing in these terms limits liability that cannot be limited by law, such as liability for fraud, or for death or personal injury caused by negligence.
12. Your responsibility for claims
You will defend and compensate us against claims by third parties arising from your Inputs, your use of the Outputs, or your breach of these terms or the Acceptable Use Policy.
13. Changes to these terms
We may update these terms. For changes that materially affect you, we give at least 14 days' notice by email or on this website before they apply. Price changes follow the Billing Terms. If you do not accept a change, stop using the API before it takes effect; continuing to use the API means you accept it.
14. General
- These terms are governed by the laws of Singapore, and the courts of Singapore have exclusive jurisdiction over any dispute about them.
- These terms are the entire agreement about the API and replace earlier discussions. If a provision is unenforceable, the rest still applies. A failure to enforce a provision is not a waiver.
- You may not transfer these terms without our written consent; we may transfer them to an affiliate or a successor of our business.
- We may send notices to your organization's contact or billing email. Send notices to us at [email protected].
- We may publish translations of these terms for convenience. The English version is the binding one.
